Terms of Service

Effective date: 2026-09-27 · Last updated: 2026-11-04

These Terms of Service ("Terms") govern your purchase and use of Toast Karaoke from Watcharapong Dokmai, a sole proprietor ("we", "us"). They work together with the EULA, Privacy Notice, and Content Policy. If these Terms and the EULA differ, these Terms govern purchases, billing, refunds and cancellation, and the EULA governs what the software licence allows. By buying or using Toast Karaoke, you agree to these Terms. If you do not agree, do not use it.

1. The app and your licence

Toast Karaoke is self-hosted karaoke software that runs on your own computer. Your right to install and use it is the licence set out in the EULA. Every paid plan and the free trial unlock the full app ("Pro"); plans differ only in how long they last and how many devices they cover. Without an active plan or trial the app runs as a free version with a limited feature set; the current limits are listed on our website. We may change what the free version includes. We will not remove a Pro feature from a period or Lifetime purchase you have already paid for unless the law, a security issue, or a third party's rights require it, and if we must, section 7 applies.

2. Who may buy, and buying for a business

You must be old enough to enter into a binding contract where you live, or have the consent of a parent or guardian. If you buy or use Toast Karaoke for a business (for example, a bar or karaoke venue), you accept these Terms on its behalf, confirm you are authorised to do so, and the licence belongs to that business. Rights that the law gives only to consumers apply only if you are a consumer.

3. Licence key and email

There is no user account or password. A paid licence is identified by the email address used at purchase and the licence key we email you; you activate the app by entering both. Anyone who has both can activate your licence, so keep your licence key private. You are responsible for activations made with it.

You can move the active device from inside the app (switch to this device, or deactivate), and [email protected] can free a remembered device you no longer have. If you suspect unauthorised use, tell us promptly at [email protected]; we can disable the key and issue you a replacement.

4. Free trial

Where offered, the free trial is for evaluation, requires no payment card, and is limited to one trial per device. To manage trials we store a device identifier as described in the Privacy Notice. Starting the trial requires an online licence check. We may change or end the trial offer for future users. A trial already issued remains valid for its stated three-day period unless we end it for abuse, security, or legal reasons. When the trial ends, the app continues as the free version unless you buy a plan.

5. Plans, pricing, and billing

  • Reseller / merchant of record. Our order process is conducted by our online reseller Paddle, which is the merchant of record for all our orders. Paddle processes the payment, issues your invoice, collects and remits any applicable taxes, and handles payment questions, so your purchase is also subject to Paddle's buyer terms and privacy policy. Your licence to use Toast Karaoke is granted by us under the EULA.
  • Prices are shown at the point of purchase, including any VAT or sales tax that Paddle calculates for your location. We will not change the price of a period you have already paid for.
  • Subscription plans (monthly and yearly) renew automatically at the end of each period, for the same period, until you cancel. Paddle takes payment at the start of each period and sends any renewal reminders the law requires.
  • Price changes for subscriptions apply only from a renewal. We (or Paddle) will tell you by email at least 30 days before the first renewal at a higher price, and, where the law requires, ask for your consent. If you do not want to continue, cancel before that renewal.
  • 7-day Pass is a non-recurring purchase for one device. Its seven days start when you first activate the key (not when you pay), so you can buy it ahead of time; the key must be activated within 90 days of purchase. It does not renew, and deactivating and re-activating does not restart it. Each Pass comes with its own licence key; buying another Pass gives a new seven-day key rather than extending the current one.
  • Monthly, yearly and lifetime plans may remember up to five of the licence owner's devices, but Pro may be active on only one device at a time: activating on another device moves Pro there, and the previous device returns to the free version at its next licence check. They may not be shared or used at multiple locations simultaneously.
  • Lifetime plan is a one-time purchase under the same device rule, for as long as we offer and support Toast Karaoke. It includes all future updates we release for Toast Karaoke, at no extra charge. If we stop supporting the product, section 8 applies.
  • Online licence checks. Paid plans and the trial check the licence online while the app runs. Monthly, yearly, the 7-day Pass and the trial keep working offline for up to 14 days between successful checks (never beyond the plan's end); after that, paid features pause until the app can check again. Lifetime keeps working offline for up to 90 days between successful checks; after that, paid features pause until the app can check again, then carry on as before — nothing is lost. A licence works only on the computer it was activated on; to move it, activate it on the new computer.
  • We do not receive or store your full card number.

6. Cancellation and refunds

Cancelling a subscription. You can cancel at any time using Paddle's subscription-management link in your receipt email, or by contacting [email protected]. Cancellation stops the next renewal; you keep access until the end of the period you have paid for.

14-day money-back guarantee. For the first payment of a Monthly, Yearly or Lifetime plan, you can ask for a full refund within 14 days of that payment, for any reason, by contacting [email protected] or through Paddle (the link in your receipt, or paddle.net).

7-day Pass. The same 14-day guarantee applies while the Pass key has not yet been activated. Activating the key starts the Pass: from then on it is used and is not refundable, unless its key never reached you (we first resend it; if we still cannot deliver it, we refund the Pass). The key email repeats this before you activate.

Renewal payments are not refundable, except as set out in section 8 or where the law requires.

How refunds work. Because Paddle is the merchant of record, refunds are issued by Paddle. Paddle may also grant a refund under its own refund policy. A full refund ends the licence: its key stops working, at the latest at the device's next licence check.

Payment disputes. If you dispute a payment with your bank or card issuer (a chargeback), the licence is suspended while the dispute is open. If the payment is returned to you, the licence ends; if the dispute is decided in our favour, the licence is restored. Please contact us first — most problems can be fixed faster that way.

Your statutory rights. Nothing in this section limits any refund, withdrawal or other right that the law where you live gives you and that cannot be waived. If you are a consumer in the EU, EEA or UK, you have a 14-day right of withdrawal; by activating a licence key you ask us to start supplying the digital content immediately and acknowledge that, once supply has started, you lose that right of withdrawal for that purchase (the money-back guarantee above still applies where it says so).

7. Updates and availability

We release updates that add, change or remove features, including changes needed for security, compatibility or legal reasons. We do not charge for updates. We aim to keep the app and the licence service working, but we do not guarantee uninterrupted availability. If an outage on our side stops a paid plan from working for more than 14 consecutive days, tell us and we will extend the plan by the time lost or refund that time proportionally. If we must remove a Pro feature for one of the reasons in section 1, a subscription or unactivated 7-day Pass holder may cancel and ask for a proportional refund of the unused paid time.

8. If we discontinue Toast Karaoke

If we decide to permanently stop offering Toast Karaoke or its licence service:

  1. we will announce it at least 90 days before the licence service stops, by email to every licence holder we can reach and on our website, and we will stop selling new plans and taking renewals from the announcement;
  2. before the licence service stops, we will release an update that lets Lifetime licences keep working, and be moved to another of your devices, without our servers; and
  3. we will refund, through Paddle, the unused part of any subscription period that runs past the shutdown date, and any 7-day Pass that has not yet been activated.

This section also binds anyone we transfer the business to (section 16).

9. Acceptable use

You agree not to:

  • use Toast Karaoke to break the law or infringe anyone's rights (see the Content Policy);
  • bypass, disable, or interfere with licensing, activation, trial, or security measures;
  • share, publish, sell or otherwise make your licence key available to others, or resell, redistribute, or commercially sublicense the app except as the EULA allows;
  • reverse-engineer the app except where the law expressly permits.

10. Your content

You are responsible for the media you add and for having the right to store and perform it, including any public-performance licences. See the Content Policy.

11. Warranties

The app is provided "as is" and "as available". To the maximum extent the law allows, we give no warranties beyond those in these Terms, and we do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose. If you are a consumer, you have legal rights — for example, under Thai consumer law, or the right under EU and UK law to digital content that conforms to the contract — that this section does not exclude or limit; where those rights apply, this section applies only as far as the law allows.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or goodwill. Our total liability for all claims relating to Toast Karaoke is limited to the greater of (a) the amount you paid for the plan concerned in the twelve (12) months before the claim, or (b) for a one-time purchase (such as Lifetime or a 7-day Pass), the price you paid for it.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, for wilful misconduct or gross negligence, or any other liability that cannot be excluded or limited by law.

13. Suspension and termination

We may suspend or end your licence if you materially breach these Terms, the EULA, or the Content Policy, or where the law requires us to. Where a breach can be fixed, we will first tell you and give you a reasonable time (at least 14 days) to fix it. We may act without that notice for serious breaches — circumventing licensing, sharing or reselling keys, fraud, or a fraudulent payment dispute — or where the law requires. Fees for a licence ended because of your breach are not refunded, except where the law requires. You may stop using the app at any time.

14. Changes to these Terms

We may update these Terms and will revise the "Last updated" date. For material changes we will give at least 30 days' notice (for example, by email or in the app) before they take effect. Changes do not reduce what you have already paid for: a subscription continues under the earlier terms until its next renewal after the change, and we will not reduce what a Lifetime purchase includes (its device rule, updates, and the protections in sections 7 and 8). If you do not accept a change, you may cancel before it applies to you.

15. Governing law and disputes

These Terms are governed by the laws of Thailand, without regard to conflict-of-law rules. Please contact [email protected] first; we will try to resolve any complaint within 30 days. Disputes will be decided by the competent courts of Thailand. If you are a consumer, you also keep the protection of the mandatory consumer laws of the country where you live, and may bring proceedings in the courts that those laws allow.

16. General

  • Transfer. You may not transfer your rights under these Terms except as the EULA allows. We may transfer our rights and obligations to a successor of our business (for example, a company we set up to run Toast Karaoke); we will tell you, and your rights under these Terms stay the same.
  • Events beyond our control. We are not responsible for delays or failures caused by events we cannot reasonably control (such as outages of internet, hosting or payment providers, natural disasters, or government action); this does not remove your rights under sections 7 and 8.
  • Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a term is not a waiver.
  • Language. These Terms are written in English. If we provide a translation, the English version governs, except where the law requires otherwise.

17. YouTube content

Toast Karaoke includes a feature that searches and plays videos from YouTube. It uses YouTube API Services: search runs through the YouTube Data API via our own server, which holds our API key (you do not need one), and videos play in YouTube's own embedded player.

  • YouTube's terms apply. By using the YouTube features of Toast Karaoke, you agree to be bound by the YouTube Terms of Service. Google's handling of your data is described in the Google Privacy Policy; ours is in our Privacy Notice.
  • The content is YouTube's, not ours. Videos are provided and served by YouTube and belong to their owners. We do not host, copy, download, separate or alter them, and we do not control what is available: a video may be removed, blocked in your region, or have embedding turned off at any time. YouTube may show advertising in its player.
  • Not part of what you pay for. The YouTube features are available in every version of the app, including the free version. No plan is sold as access to YouTube content.
  • Daily search limit. YouTube limits how many searches our app can make each day, so YouTube search is limited per computer and in total each day. When a limit is reached, search works again the next day; songs you already added and links you paste keep playing. Limits are the same on every plan.
  • Not for public screening. YouTube's Terms allow viewing for personal, non-commercial use and do not allow publicly screening videos. Do not use the YouTube features to show videos to the public, for example in a bar, karaoke venue or event. See the Content Policy.
  • Your YouTube list is for you. The YouTube songs you add are saved in your music folder so they move with it, for your own use. Do not sell or distribute collections of YouTube links, for example a music drive pre-filled with YouTube songs.
