End User License Agreement (EULA)
Effective date: 2026-09-27 · Last updated: 2026-11-04
This End User License Agreement ("Agreement") is a contract between you and Watcharapong Dokmai, a sole proprietor ("we", "us") for the Toast Karaoke software, including its updates, documentation, and bundled components (the "Software").
By installing, activating, or using the Software you accept this Agreement. If you do not agree, do not install or use the Software, and — where you are within the refund window — request a refund under our Terms.
1. What you are buying
The Software is licensed, not sold. We and our licensors keep all right, title, and interest in the Software, including all copyright and other intellectual-property rights. You get the licence described below; you get no rights that are not expressly granted here.
2. Licence grant
Subject to this Agreement and to your active plan (see Terms), we grant you — or, if you buy for a business, that business — a non-exclusive, non-transferable licence (except as section 2.1 allows) to install and run the Software to play karaoke, in a household or at a venue you operate. We may end it only as section 10 allows.
- Free version — the limited feature set described in the Terms, with no time limit.
- Subscription plans (monthly and yearly) — valid while the subscription is active.
- 7-day Pass — one device, for seven days from its first activation (activate within 90 days of purchase).
- Monthly, yearly and lifetime plans — may remember up to five devices owned by you, with Pro active on only one device at a time. You may move the active licence between those devices. You may not share it or use it at multiple locations simultaneously.
- Lifetime plan — follows the same device rule, lasts for as long as we offer and support the Software, and includes all future updates at no extra charge. The Terms (section 8) set out what happens if we discontinue the Software.
Paid features rely on periodic online licence checks, as described in the Terms. Your licence is tied to your purchase email and licence key (paid plans) or to a device identifier (free trial), as described in the Privacy Notice.
2.1 Transferring a Lifetime licence
You may transfer a Lifetime licence, in full, to another person or business by asking [email protected] from the purchase email. We move the licence to the new owner's email; you must then stop using it, and the new owner takes it under this Agreement. Subscriptions and 7-day Passes cannot be transferred.
3. What you may not do
You may not, and may not let anyone else:
- copy, resell, rent, lease, lend, sublicense, distribute, or commercially host the Software for third parties, except as this Agreement allows;
- share, publish or sell a licence key;
- remove, disable, or work around the Software's licensing, activation, trial, or device checks, or any technical protection measure;
- reverse-engineer, decompile, or disassemble the Software, except to the exact extent that applicable law permits despite this restriction (for example, mandatory interoperability rights), and except for open-source components, whose own licences allow more (section 5);
- remove or alter any copyright, trademark, or other proprietary notice;
- use the Software to infringe anyone's rights or to break any law (see the Content Policy).
4. Your media and your content
The Software is a player and manager for media files that you supply. It ships with no songs, recordings, lyrics, or video, and it does not download songs or video on its own. You are solely responsible for the files you add and for holding the rights to store and perform them. See the Content Policy, which forms part of this Agreement.
5. Third-party and open-source components
The Software includes third-party and open-source components listed in the Acknowledgments. Those components are licensed to you under their own terms, which prevail over this Agreement for those components only — nothing here restricts a right their licences give you. Optional plugins you choose to install may be governed by their own licences and may connect to third-party services; we are not responsible for third-party plugins or services you choose to use.
6. Updates
We may provide updates that add, change, or remove features, including changes needed for security, compatibility, or legal reasons. The desktop app checks for, downloads and installs updates automatically; a downloaded update is applied when you restart or quit the app. Updates are covered by this Agreement unless they come with their own terms. Some features rely on online services; the Terms (sections 7 and 8) set out our commitments if they are interrupted or discontinued.
7. Trial and paid plans
Trial, pricing, billing, renewal, refunds, and cancellation are governed by the Terms of Service, which are incorporated into this Agreement.
8. Warranties
The Software is provided "as is" and "as available". To the maximum extent the law allows, we give no warranties beyond those in this Agreement and the Terms, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Software will be uninterrupted, error-free, or secure. If you are a consumer, you have legal rights — for example, under Thai consumer law, or the right under EU and UK law to digital content that conforms to the contract — that this section does not exclude or limit; where those rights apply, this section applies only as far as the law allows.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Software or this Agreement. Our total liability for all claims relating to the Software is limited to the greater of (a) the amount you paid for the plan concerned in the twelve (12) months before the event giving rise to the claim, or (b) for a one-time purchase (such as Lifetime or a 7-day Pass), the price you paid for it.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, for wilful misconduct or gross negligence, or any other liability that cannot be excluded or limited by law.
10. Term and termination
This Agreement applies for as long as you use the Software. We may end your licence only if you materially breach this Agreement, the Terms or the Content Policy, following the notice process in section 13 of the Terms, or where the law requires. A paid plan that expires, is refunded, or is cancelled at the end of its period returns the Software to the free version; it does not end this Agreement. When this Agreement ends, you must stop using and remove the Software. Sections 1, 3, 4, 5, 8, 9, 11, and 12 survive termination.
11. Governing law and disputes
This Agreement is governed by the laws of Thailand, without regard to its conflict-of-law rules. Disputes will be decided by the competent courts of Thailand. If you are a consumer, you also keep the protection of the mandatory consumer laws of the country where you live, and may bring proceedings in the courts that those laws allow.
12. General
This Agreement, together with the Terms, Privacy Notice, Content Policy, and Acknowledgments, is the entire agreement between you and us about the Software. If this Agreement and the Terms differ, the Terms govern purchases, billing, refunds and cancellation, and this Agreement governs what the licence allows. If any provision is held unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement except as section 2.1 allows. We may transfer it to a successor of our business; we will tell you, and your rights under it stay the same. This Agreement is written in English; if we provide a translation, the English version governs, except where the law requires otherwise.
